Welcome to StudentSucceed. These Terms of Service ("Terms") govern your use of our website, mobile application, and services (collectively, the "Service") operated by Student Succeed LLC ("StudentSucceed," "we," "us," or "our").

Company Information: StudentSucceed is operated by Student Succeed LLC, a Delaware limited liability company. Our platform is designed to empower international students with comprehensive tools and support for their educational and career journey.

By creating an account, accessing, or using our Service, you agree to be bound by these Terms, including the binding arbitration and class action waiver provisions. If you disagree with any part of these terms, you may not access the Service. Your continued use of the Service constitutes ongoing acceptance of these Terms as they may be updated from time to time.

2. Description of Service

StudentSucceed is a comprehensive platform that provides international students with:

• Jobs & Career Portal: 70,000+ job listings with verified H-1B sponsorship data, AI-powered resume building, job matching, ATS scoring, and recruiter discovery
• AI Studio: Voice AI mock interviews, AI career coaching, and AI-powered career tools available 24/7
• AI Chat Assistant: AI-powered conversational assistant for job search, visa questions, and career guidance
• Housing Platform: Property listings, search, and application management
• Mentorship: Connection with mentors and peer support
• Resources: Guides, templates, checklists, and educational content

3. User Accounts

3.1 Account Creation

To use certain features of our Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Types

We offer different account types for students, landlords, and administrators. Each account type has specific features and responsibilities outlined in these Terms.

4. Jobs & Career Portal Terms

4.1 Usage-Based Model

Our platform operates on a usage-based model with weekly allowances:

• Each subscription tier includes a weekly usage allowance that resets automatically every 7 days
• Usage is consumed when accessing AI-powered features including resume parsing, ATS scoring, AI enhancements, recruiter lookups, and Voice AI sessions
• Voice AI sessions (mock interviews, career coaching) consume usage at a higher rate than text-based features
• Unused weekly allowance does not roll over between reset periods
• Higher subscription tiers provide significantly more weekly usage
• We reserve the right to adjust usage rates and allowances with notice to users

4.2 AI Studio & Voice AI

AI Studio provides AI-powered voice interactions including mock interviews, career coaching, and resume building. By using AI Studio, you acknowledge:

• AI Studio sessions are conducted by artificial intelligence, not human professionals
• Voice sessions are recorded and processed to provide feedback, scorecards, and improve the service
• AI interview feedback and scorecards are generated algorithmically and should not be considered professional career advice
• Access to AI Studio features may be limited or restricted by subscription tier at our discretion
• Session quality depends on network connectivity and device capabilities
• We use third-party AI providers (including but not limited to speech-to-text, language models, and text-to-speech services) to deliver AI Studio features

4.3 AI-Generated Content

Our platform uses AI to generate and enhance content. You acknowledge that:

• AI-generated content (resumes, cover letters, summaries) should be reviewed and verified before use
• You are responsible for the accuracy of information you provide and the content you submit to employers
• AI enhancements are suggestions and may require your editing
• We do not guarantee job placement or interview outcomes

4.4 Visa Sponsorship Data

Our visa sponsorship scoring feature provides estimates based on historical data and publicly available information:

• Scores are for informational purposes only and do not guarantee visa sponsorship
• Employers' sponsorship decisions are independent of our scoring
• You should consult with immigration attorneys for legal advice

4.5 Recruiter Discovery

Our recruiter discovery feature is subject to:

• Availability of publicly accessible information
• Third-party data provider terms and limitations
• Responsible use for legitimate job-seeking purposes only

5. User Conduct

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Post false, misleading, or fraudulent information
• Harass, abuse, or harm other users
• Upload or transmit malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Use the Service for commercial purposes without authorization
• Discriminate based on race, religion, gender, nationality, or other protected characteristics
• Abuse the credit system or circumvent usage limits
• Scrape or bulk download data from the platform
• Use recruiter information for spam or unsolicited bulk messaging

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you submit to our Service (including resumes and profile information). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content in connection with the Service, including AI processing and enhancement.

6.2 AI-Enhanced Content

Content generated or enhanced by our AI tools is derived from your original content and remains your property. However, you acknowledge that similar AI-generated suggestions may be provided to other users.

6.3 Our Content

The Service and its content, features, and functionality are owned by StudentSucceed and are protected by copyright, trademark, and other intellectual property laws.

7. Payments and Subscriptions

7.1 Subscription Tiers

We offer subscription tiers (Free, Basic, Professional, Enterprise) with different usage allowances and feature access. Tier details and pricing are available on our pricing page. We reserve the right to modify tier features, allowances, and pricing with 30 days notice.

7.2 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless canceled before the renewal date. You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period.

7.3 Payment Processing

Payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service in addition to these Terms. You authorize us to charge your payment method for recurring subscription fees.

7.4 Refunds

Usage that has been consumed cannot be reversed or refunded. Unused subscription time may be eligible for pro-rated refunds at our sole discretion. Promotional or discounted subscriptions are generally non-refundable. Contact support@studentsucceed.com for refund requests.

8. Housing Platform Terms

8.1 Application Process

Our Service facilitates housing applications but does not guarantee approval or availability. All housing decisions are made by individual landlords or property managers.

8.2 No Warranty

We do not warrant the accuracy of property listings or the reliability of landlords. Users should conduct their own due diligence before entering into housing agreements.

9. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information when you use the Service, including how we process your data for AI features.

10. Disclaimers and Limitation of Liability

10.1 Service Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 AI Disclaimer

AI-generated content, including but not limited to resume enhancements, cover letters, interview feedback, scorecards, career coaching responses, and chat assistant responses, is provided for informational and convenience purposes only and may contain errors. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for your specific circumstances. AI Studio mock interviews and career coaching are not substitutes for professional career counseling.

10.3 Career Outcomes Disclaimer

We do not guarantee job placement, interviews, or any specific career outcomes. Our tools are designed to support your job search, but success depends on many factors beyond our control.

10.4 Limitation of Liability

To the fullest extent permitted by law, Student Succeed LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Student Succeed LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the Service.

You may terminate your account at any time by contacting us at support@studentsucceed.com or using the account settings in the Service. Upon termination, your right to use the Service will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of law principles.

14. Dispute Resolution & Arbitration

14.1 Informal Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation by contacting us at legal@studentsucceed.com. We will attempt to resolve disputes within 30 days.

14.2 Binding Arbitration

If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be determined by binding arbitration in Massachusetts, USA. The arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Student Succeed LLC.

14.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims relating to intellectual property infringement or unauthorized access to the Service.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
